By accessing or using the services provided by AI Agent Setup Company ("Company," "we," "us," or "our"), including our website at aiagentsetup.co, software platforms, AI tools, and consulting services, you ("Client" or "you") agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use immediately.

All content, software, tools, methodologies, templates, and materials provided by AI Agent Setup Company — including but not limited to our white-labeled SaaS platform, AI workflows, training materials, and proprietary processes — remain the exclusive intellectual property of AI Agent Setup Company. Clients receive a limited, non-exclusive, non-transferable license to use these materials for their own business operations during the term of their service agreement. No ownership rights are transferred. Reverse engineering, resale, redistribution, or reproduction of our proprietary tools, workflows, or content without written consent is strictly prohibited.

Unless otherwise stated in your service agreement or invoice, all fees are due in advance and are non-refundable. Payment terms are as follows:

Due to the custom, time-intensive nature of our consulting and implementation services, all fees are non-refundable once work has commenced. For subscription services, you may cancel at any time, and access will continue until the end of the current billing period. No prorated refunds will be issued for partial billing periods.
8. Confidentiality
Both parties agree to keep confidential any proprietary, business, or technical information shared during the course of the engagement. This obligation survives termination of the service agreement and remains in effect for 3 years following the end of the engagement.
9. Data Privacy & Security
AI Agent Setup Company takes reasonable technical and organizational measures to protect client data. However, no system is 100% secure, and we cannot guarantee absolute protection against unauthorized access. Clients retain ownership of all data they submit to the platform. Our handling of personal data is governed by our Privacy Policy, available at aiagentsetup.co/privacy-policy.
10. Limitation of Liability
To the maximum extent permitted by law, AI Agent Setup Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to the services. Our total aggregate liability for any claim shall not exceed the total fees paid by the client to AI Agent Setup Company in the 3 months preceding the event giving rise to the claim.
11. Indemnification
Client agrees to indemnify and hold harmless AI Agent Setup Company, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) client's misuse of the platform or services, (b) client's violation of these Terms or applicable law, (c) client's breach of intellectual property or data privacy obligations, or (d) any content or data provided by the client.
12. Term & Termination
These Terms remain in effect for the duration of your use of our services. Either party may terminate the service agreement with 30 days' written notice. Upon termination, client access to the platform and services will cease, and all outstanding fees will become immediately due. Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
13. Warranties & Disclaimers
Services are provided on an "as is" and "as available" basis. AI Agent Setup Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific business outcomes, results, or ROI from the use of our services.
14. Third-Party Services
Our platform may integrate with third-party tools and services (e.g., CRM systems, email providers, AI APIs). We are not responsible for the performance, availability, or practices of these third parties. Clients are subject to the terms and policies of those third-party services.
15. Force Majeure
AI Agent Setup Company shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government actions, labor disputes, or internet or telecommunications failures.
16. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Mesa, Arizona, under the rules of the American Arbitration Association.
17. Assignment
Clients may not assign or transfer these Terms or their service agreement without prior written consent from AI Agent Setup Company. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.
18. Entire Agreement
These Terms, together with any applicable service agreement or invoice, constitute the entire agreement between the parties and supersede all prior or contemporaneous understandings, whether written or oral.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
20. No Waiver
The failure of AI Agent Setup Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision in the future.
21. Relationship of the Parties
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

Headings used in these Terms are for convenience only and do not affect the interpretation of any provision.
23. Insurance Requirements
AI Agent Setup Company shall maintain, at its own expense, the following minimum insurance coverage throughout the term of these Terms:
Client Insurance
Clients are encouraged — and for enterprise agreements, required — to maintain commercially reasonable general liability and cyber liability insurance appropriate to their business operations and the nature of data they process through the platform.
Evidence of Insurance
Either party may request a Certificate of Insurance evidencing the required coverages at any time, and the other party shall provide such certificate within 10 business days of the written request. The requesting party shall be named as an additional insured on the other party's general liability policy upon request.
No Limitation of Liability
The insurance requirements in this Section are independent of — and do not limit — the parties' obligations under Section 11 (Limitation of Liability) or Section 12 (Mutual Indemnification). Maintaining the required insurance does not relieve either party of any obligation under these Terms.
24. Changes to These Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted at aiagentsetup.co/terms with a revised "Last Updated" date. For material changes, we will provide 14 days' advance notice by email. Continued use of our services after the effective date of changes constitutes your acceptance of the updated Terms.
